In order to make content, products, and/or services available to the user, and to make the M/s. Clipping World King. Website and its services easier to use, a number of different third-party applications and services are integrated into the website. Henceforth referred to as “Third-Party Applications,” these applications and services include, but are not limited to, payment services, online stores, data storage, and upload services, and help desk services. 7. USER-GENERATED CONTENT

The user may submit or upload content to the Clipping World King LTD. Website in order to engage its services. Henceforth referred to in the Terms as “User Content”, the content users upload to the Website may include, but may not be limited to, images, text, video, graphics, and information of any kind. For the sake of clarity, User Content includes anything uploaded by users to the Customer Portal as well as anything uploaded to any other part of Clipping World King LTD.’s Website. With respect to any content they upload to the Website, the user confirms that:

(1)they have the right to upload and distribute the content;

(2) The content uploaded and its use by M/s. Clipping World King. to render service as outlined in the Agreements is not in violation of the Agreements, all applicable laws or intellectual property, and does not violate the publicity, personality, or other rights of any individuals. In addition, the content you upload and its use do not in any way imply that M/s. Clipping World King. has a connection to or endorses you or the content you uploaded.

M/s. Clipping World King. reserves the right to, although it has no compulsion to examine, review, and edit User Content. M/s. Clipping World King. also retains the right to, for any reason whatsoever, remove or revoke access to specific User Content or any user account, including but not limited to, User Content or user accounts that violate the Agreements. What kind of User Content or account does or does not violate the Agreements, however, rests solely at the discretion of M/s. Clipping World King. M/s. Clipping World King. may moderate User Content and accounts without any prior notice to the user or any third party. M/s. Clipping World King. does not, however, guarantee the removal of or disabling access to any specific kind of User Content or account.

(5) to treat feedback, ideas, or suggestions given to M/s. Clipping World King. by the user in regards to the M/s. Clipping World King. Clipping World King. vows to use reasonable resources and endeavors to respond to and address any and all Customer Service Queries within a reasonable period of time. However, M/s. Clipping World King. makes absolutely no guarantees of any kind that Customer Service Queries made by users will be addressed within any specific amount of time, and/or that Customer Service Queries will be addressed satisfactorily.

12. PAYMENTS, REFUNDS, PRICES, AND PROMOTIONS

12.1 Payments

M/s. Clipping World King. requires all individual users to pay upfront and in full for their orders before work on their orders begins. For the ease of its users, M/s. Clipping World King. offers a variety of different payment options which include, but may not be limited to, credit cards and online payment services. At its own discretion, M/s. Clipping World King. may extend lines of credit to corporate clients, pursuant to such clients passing reference checks in a satisfactory fashion, after which a member of the team will send the client a contract for them to sign. In the case of such clients, M/s. Clipping World King. will require payment, in full, for an order to be made no more than four days after the order has been delivered.

M/s. Clipping World King. may also, at its own discretion, allow for recurring monthly payment options. Clients with such arrangements will be required to pay M/s. Clipping World King. on a monthly basis for all of the services, they have availed during each calendar month. With respect to lines of credit, all expenses are to be agreed upon by both parties before a contract is signed, and M/s. Clipping World King. retains the right to cancel any line of credit it has extended to a client at any time in the event of non-payment.

12.2 Quality Control and Refunds

It is M/s. Clipping World King.’s hope to provide services of the best possible quality and achieve maximum customer satisfaction. In the unfortunate event that a user is dissatisfied with their order, M/s. Clipping World King. will make corrections and amendments, within reason, as necessary to satisfy the consumer. A request for a refund or revision of a finished project must, however, be made within 14 days of delivery.

M/s. Clipping World King. reserves the right to cancel requests for revision in the event that the client amends their requirements and strays from what they originally ordered. M/s. Clipping World King. also reserves the right to refuse refund requests if an edited image complies with the same standards of quality as an approved sample image, or if the customer has downloaded their images and are unable to provide any valid concerns or reasons for displeasure. Even in cases where a request for a revision is, for whatever reason, denied, M/s. Clipping World King. maybe able to make amendments to the edited images to better meet the client’s needs at a reduced cost. Any and all revisions made as part of Quality Control bear no prejudice towards M/s. Clipping World King. or it’s associate companies.

12.3 Prices

M/s. Clipping World King. offers a variety of different services, all with varying prices. M/s. Clipping World King. reserves the right to change the prices for pre-paid work and for work done against credit (for orders not yet paid for), but will always apprise the client of any changes to pricing before confirming a new order. As delineated by local law, the user continuing to use M/s. Clipping World King. and engage its services after the change in pricing takes effect will be taken to constitute acceptance of the new prices. M/s. Clipping World King., at its own discretion, may revise its prices occasionally, with the new prices taking effect immediately. M/s. Clipping World King. is not beholden to notifying customers of any changes to pricing, but the user will always see the current price for their order before they confirm it. Any separate agreements a user may have with M/s. Clipping World King. pertaining to prices will remain unaffected by these changes, however.

12.4 Promotional Offers and Discounts

M/s. Clipping World King., may, from time to time, offer discounts and promotions to its customers in the form of coupons and coupon codes, referral programs, or promotional discounts, among others. M/s. Clipping World King. reserves the right to, at its own discretion, cancel or discontinue promotional offers and discounts at any time, citing no reason whatsoever and with no obligation to offer anything in consolation.

13. QUOTES AND ORDERS

In the event that a customer’s order does not match the sample images, they provided to get the original quote, M/s. Clipping World King. may cancel their order. M/s. Clipping World King. may, however, provide a new quote to the customer which they can use to place a new order that actually matches the quote they requested. In addition, if an order is placed using a quote based on different types of images than the ones included in the order, M/s. Clipping World King. may cancel the order. M/s. Clipping World King. may, however, provide a new, more accurate quote to the customer which they can use to place a new order.

14. TURNAROUND TIME

It is hereby stipulated that the turnaround time a customer selects when they place their order begins the moment the client is done uploading all of the images that are to be edited as part of the order and not when the order is placed.

15. TERM AND TERMINATION

Both M/s. Clipping World King. and the user is free to terminate their working relationship at any time, and the Agreements will stay in effect until this working relationship is terminated by either the user or M/s. Clipping World King. The customer acknowledges and agrees that the license they grant M/s. Clipping World King. pertaining to User Content (including Feedback) and its use is perpetual and irrevocable, however, and so will remain valid even after the Agreements are terminated. M/s. Clipping World King. reserves the right to suspend or revoke your access to the M/s. Clipping World King. Website and the Customer Portal, effectively terminating the Agreements, at any time and for any reason, including (but not limited to) unauthorized use of the Website or its Content, or being in breach of the Agreements. In the event that the Agreements are terminated or your access to the M/s. Clipping World King. The website is revoked, you acknowledge and agree that M/s. Clipping World King. will have no accountability or responsibility to you whatsoever, and that M/s. Clipping World King. will not be liable for any refunds on payments that you have already made.

Sections 3, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, and 25 of the Agreements, along with any other parts of the Agreements that, either explicitly or by their very nature, need to remain in effect even after the Agreements are terminated shall survive their termination. THE USER AGREES on ACKNOWLEDGES AND AGREES THAT IN THE EVENT OF UNRESOLVABLE ISSUES OR DISSATISFACTION WITH THE M/S CLIPPING WORLD KING. WEBSITE AND/OR ITS SERVICES, THEIR ONLY REMEDY, TO THE EXTENT DEEMED PERMISSIBLE BY APPLICABLE LAWS, IS TO IMMEDIATELY STOP USING THE M/S CLIPPING WORLD KING. WEBSITE. THE USER ACKNOWLEDGES THAT M/S CLIPPING WORLD KING., ITS OFFICERS, EMPLOYEES, DIRECTORS, AGENTS, SHAREHOLDERS, SUBSIDIARIES, AFFILIATES, SUPPLIERS, OR LICENSORS WILL, IN NO WAY, BE LIABLE FOR:

(1) ANY INDIRECT, CONSEQUENTIAL, PUNITIVE, INCIDENTAL OR EXEMPLARY DAMAGES INCURRED;

(2) ANY LOSS OF USE, DATA OR PROFITS (BOTH DIRECT AND INDIRECT), IN ANY AND ALL CASES STEMMING FROM THE USE OF OR THE INABILITY TO USE THE M/S CLIPPING WORLD KING. WEBSITE, THIRD-PARTY APPLICATIONS OR THIRD-PARTY CONTENT;

(3) COLLECTIVE LIABILITY FOR ANY AND ALL CLAIMS PERTAINING TO THE M/S CLIPPING WORLD KING. WEBSITE, THIRD-PARTY APPLICATIONS INTEGRATED INTO THE WEBSITE OR THE CONTENT THEREOF, ANY MORE THAN THE TOTAL AMOUNT PAID BY THE CLIENT TO M/S CLIPPING WORLD KING. DURING THE TWELVE MONTHS BEFORE THE CLAIM WAS BROUGHT.

18. THIRD-PARTY RIGHTS

The user acknowledges that the owners of specific Content available on the M/s. Clipping World King. Website and specific distributors are intended to be beneficiaries of the Agreements and, as such, have the right to enforce the Agreements against the user. Apart from what is outlined in this section of the Terms, however, the Agreements do not grant any rights to any entity except the client and M/s. Clipping World King., and in no other instance shall the Terms of the Agreements grant any beneficiary rights to third-parties. Finally, the rights to terminate or agree to any variation, waiver, or settlement of the Terms defined within the Agreements rest solely with M/s. Clipping World King. and the client and are unaffected by any and all third-parties.

19. SEVERABILITY AND WAIVER

In the event that anyone provision of the Agreements is found to be invalid or unenforceable for any reason whatsoever, the invalidity or unenforceability of this one provision will, in no way, affect the remaining provisions of the Agreements and they shall remain effective unless otherwise decreed within the Agreements. The invalid or unenforceable provision will still be enforced to whatever extent is deemed permissible under applicable laws.

Failure on the part of M/s. Clipping World King. or any third-party beneficiary to enforce the Agreements or any provision outlined within them does not waive that entity’s right to do so.

20. ASSIGNMENT

M/s. Clipping World King. reserves the right to assign any part(s) of the Agreements as they see fit, and M/s. Clipping World King. is allowed to delegate its obligations as permitted under the Terms of the Agreements. The client, however, may not assign the Agreements or any part thereof, nor are they allowed to transfer or sub-license the rights granted to them by the Agreements to a third-party.

21. APPLICABLE LAW

The terms and conditions outlined within this document shall be governed and interpreted by English law. Upon accepting the Agreements, the user agrees to submit to the sole jurisdiction of the courts of the United Kingdom.

22. INDEMNIFICATION

The client promises to, to every extent possible, indemnify M/s. Clipping World King. against any and all damages, losses, and expenses, including but not limited to reasonable attorney fees and legal costs, incurred as a result of:

(1) them is in violation of the Agreements;

(2) any User Content they upload to the Website;

(3) any activity they engage in through or on the M/s. Clipping World King. Website;

(4) their breach of any applicable laws or their violation of the rights of a third party.

23. COOKIES

25. ENTIRE AGREEMENT

Unless delineated in this section or expressly agreed upon, in writing, between M/s. Clipping World King. and the client, the Agreements make up all of the terms and conditions agreed upon by M/s. Clipping World King. and the client. It is also stipulated that the Terms outlined within the Agreements supersede any and all past commitments, whether oral or written, between M/s. Clipping World King, and the client in regards to the contents of the Agreements.
